A US LLC for e-commerce sellers on Amazon, Etsy and Shopify

For an online seller based outside the US, a US LLC is a common way to hold a marketplace account and receive payouts in a company’s name. This guide covers what the platforms ask for, how the money arrives and who decides each step. It is process information, not legal or tax advice.

Who is this guide for?

  • Brands and makers who want an Amazon US seller account in a company’s name.
  • Designers selling handmade goods on Etsy who want payouts collected in one company account.
  • Founders running their own Shopify store and selling to US customers in dollars.

What do Amazon, Etsy and Shopify ask a US company for?

All three verify the person who opens the account and the company behind it: the legal name, the formation document, the EIN, an address and the account that receives payouts. The lists differ by platform and change over time, so read each platform’s own page before you apply. The platform decides.

Information marketplaces often ask for and the document in your LaunchUS vault that answers it.

How do marketplace payouts reach the company?

Marketplaces usually send sales proceeds to a bank account set up in the seller account, and most expect that account to carry the seller’s name. That is why a company bank account often comes before the marketplace application. The bank makes that decision; LaunchUS does not apply for or decide on accounts.

What banks ask for is in US bank account for a non-resident LLC; card payments in your own store are covered in a US company for Stripe, and Stripe’s questions in the Stripe documents checklist.

Who collects US sales tax on your orders?

In the US, each state sets its own sales tax rules, and they differ from state to state. Many states require a marketplace to collect the tax on sales it facilitates. Sales in your own web store follow the rules of the states you sell into. Review your position with a US tax professional.

The state and IRS filings the company makes each year are on the yearly obligations checklist.

Wyoming or Delaware for an online store?

Marketplaces accept LLCs from either state, so the choice usually comes down to the yearly state task, the budget and any plan to raise money. A Wyoming LLC files an annual report with a license tax each year; a Delaware LLC pays an annual LLC tax. We set the criteria side by side; you decide.

The criteria are on Wyoming vs Delaware; state details are in the Wyoming LLC and Delaware LLC guides.

The difference between the business address platforms ask for and the registered agent address is in registered agent address vs business address.

What does this guide not do?

  • We do not register you for sales tax or prepare tax returns.
  • We give no tax, customs or accounting advice.

Questions about a US LLC for e-commerce

Do I need a US company to sell on Amazon US?

Amazon publishes on its own pages which countries and business types it accepts for seller registration. A US LLC is one way to hold the account in a company’s name; Amazon decides.

What should I do first once the company is formed?

Most sellers wait for the EIN, then apply for a bank or payment account, and open the marketplace account last with the company details. Every document is in your vault.

Can I use the registered agent address as my store address?

The registered agent address is for official notices, and many platforms and banks do not accept it as a business address. The LaunchUS Business Address and LaunchUS Virtual Office add-ons on the pricing page provide a separate one.

Does LaunchUS file US sales tax returns?

No. Sales tax follows state rules and LaunchUS does not prepare tax returns. Review the states you sell into with a US tax professional.

Does the company have anything to do every year?

Yes. Depending on the state there is an annual report or an annual tax, yearly IRS forms and the registered agent renewal. Your dashboard’s annual obligations calendar shows them with dates.

These answers are process transparency, not legal, financial or tax advice. Consult your own tax adviser about your obligations.
