Wyoming LLC for non-residents: who does what, step by step
This guide walks non-US founders through a Wyoming LLC formation step by step, by who is responsible: you, LaunchUS, the Registered Agent, the state and the IRS. It is process transparency, not legal, financial or tax advice.
On this page: the Wyoming steps of forming a US company as a non-resident.

Who a Wyoming LLC suits
Founders who typically consider a Wyoming LLC; the decision is yours.
- Freelancers and agency owners invoicing clients abroad through a US company.
- SaaS and app developers preparing payment-infrastructure and marketplace applications with a US entity.
- Single-founder ventures that want simple annual obligations.
- Founders who value that the formation document does not ask for member names; state rules may change.
- Founders not planning an investment round soon and running the business on their own capital.
To see both states under the same headings, read Wyoming vs Delaware. If you are forming a company for card payments, a US company for Stripe explains who holds each step of the application.
Who does what, step by step
Five steps, five named owners. Timing follows the published processing times of the state and the IRS and may change; the dashboard always shows who acts next.
- You
Answer the questions
You enter the company name and a fallback, founder details, the business activity and whether you want a no-SSN EIN. Anything missing shows on your dashboard; we never ask the same thing twice.
- LaunchUS
Reviews, shows the quote and hands the file over
Our team checks your information. The quote shows one LaunchUS service fee and the separately shown Wyoming state fee; after your approval and payment we hand the file to the LaunchUS Registered Agent team. No official filing starts from the payment screen.
- LaunchUS Registered Agent
Files the formation with Wyoming
The Articles of Organization are submitted to the Wyoming Secretary of State through the LaunchUS Registered Agent service, which provides the registered agent address and, if requested, prepares Form SS-4 (the no-SSN EIN application). Registered agent service comes with the formation order.
- State
Reviews and approves the formation
The Wyoming Secretary of State reviews the filing and, if approved, issues the formation document. Timing follows the state’s published processing times and may change. LaunchUS adds the approved document to your vault and notifies you.
- IRS
Issues the EIN
We obtain your EIN; the IRS issues the number. For a no-SSN application you sign Form SS-4 with a wet signature and scan it (the IRS does not accept a photo); the LaunchUS Registered Agent team submits it to the IRS. Timing follows the IRS’s published processing times and may change; LaunchUS adds the EIN letter to your vault when it arrives.
The registered agent requirement in Wyoming
The Wyoming Secretary of State asks every LLC to name a registered agent with a physical Wyoming address in its formation filing. Service of process and the state’s official letters go to that address.
LaunchUS Registered Agent provides that address, and the first year comes with the formation order. The address is for official service only; it is not used for bank, payment provider or marketplace verification.
Read how the address works and how incoming letters reach your vault on Wyoming registered agent service.

What a Wyoming LLC costs
In the first year you see two main lines: the LaunchUS service fee and Wyoming’s formation fee. In later years the state’s annual report license tax and the registered agent renewal follow.
| Item | Amount | Paid to |
|---|---|---|
| LaunchUS service feePreparation and review of your information, LaunchUS Registered Agent coordination, EIN application tracking and the document vault, in one line. | $549Depends on the plan; the lowest plan is shown. | LaunchUS |
| State fee (shown separately, may change)The fee the state charges for formation; it sits apart from the LaunchUS service fee. If the state fee changes, the quote is refreshed before payment. | $103The official formation fee; the exact amount is on the quote. | State |
| Annual report license tax (minimum)Every year; may rise with assets located in Wyoming. | $60per year | State |
| LaunchUS Registered Agent renewalRegistered agent address and service-of-process scanning from the second year. | $199per year | LaunchUS |

How much does a Wyoming LLC cost per year?
The formation fee is paid once. Every year after that: the annual report and license tax (minimum $60 or 0.02% of assets located in Wyoming), LaunchUS Registered Agent renewal from the second year ($199) and an address service if you chose one.
The Wyoming annual report
A Wyoming LLC files an annual report with the state each year. Under the state’s published rule the report is due on the first day of the month the company was formed, and the license tax is paid with it.
The minimum license tax is in the table above; for companies with large Wyoming assets the state’s formula raises it. The date sits in your panel’s obligations calendar and we remind you as it approaches. Ask your accountant about your tax position.

Member details in a Wyoming LLC
Wyoming’s formation filing (Articles of Organization) asks for the company name, the registered agent address and the details of the person filing; member names do not appear on it. State rules may change.
Other institutions ask for the owners: the IRS in the EIN application, banks and payment providers in account applications. Weigh your privacy expectations with that in mind, and ask your own counsel about legal questions.
The EIN, after the Wyoming LLC is formed
Once formation is approved, the SSN-free EIN application goes to the IRS on Form SS-4. The LaunchUS Registered Agent team prepares it, you sign it by hand. We obtain your EIN; the IRS issues the number. The letter is added to your vault.
See how the application is prepared and who signs it on EIN without an SSN, step by step.

Timing
Typical ranges from your payment, for a complete order with a verified passport: Wyoming state approval 1–9 business days; a no-SSN EIN 4–16 weeks. These are estimates, not promised dates: formation approval follows the Wyoming Secretary of State’s and the EIN follows the IRS’s published processing times, which may change. Your dashboard shows each step’s estimated dates, status and next owner.
Wyoming LLC questions
When does Wyoming make sense?
You decide; we do not advise. Founders usually consider Wyoming for simple annual obligations, a formation document that does not ask for member names, and a small-business perception. If you plan an investment round, also read the Delaware guide and the comparison page.
Can I be the only member, and does being a foreigner matter?
A Wyoming LLC can have a single member, and the state does not require the member to be a US citizen or resident. State rules may change; the Wyoming Secretary of State publishes the current requirements. The registered agent address must be in Wyoming; it is provided through the LaunchUS Registered Agent service.
Is there an annual report or license tax?
Yes. A Wyoming LLC files an annual report with the state each year and pays a license tax the state calculates; the state publishes the amount and method and may change them. LaunchUS tracks the date and reminds you on the dashboard. Consult your tax adviser about your situation.
Can I use the registered agent address for bank or marketplace verification?
No. The Registered Agent address is for the state’s official notices; it is not a bank, payment-provider or marketplace verification address and is not a general business address. We provide a document readiness pack for those applications; approval depends on the institution’s assessment.
I have no SSN; how is the EIN obtained?
We obtain your EIN; the IRS issues the number. The LaunchUS Registered Agent team prepares Form SS-4; you sign it with a wet signature and scan it (the IRS does not accept a photo). The LaunchUS Registered Agent team submits it to the IRS; timing follows the IRS’s published processing times and may change. You see the status on your dashboard.
Do I need an operating agreement?
Wyoming does not ask for the operating agreement (the internal ownership agreement) to be filed with the state; some banks and payment providers may request it during an application. This is process transparency, not legal advice; consult your own legal adviser about its content.
Do I need to travel to Wyoming to form the LLC?
No. You answer the questions in the panel; the formation filing goes to the state through the LaunchUS Registered Agent service. Your ID and address details are collected in the form.
Can I open a Stripe account with a Wyoming LLC?
You apply and Stripe decides. A Wyoming LLC, an EIN and a bank account in the company’s name are details Stripe often asks for; your documents wait in your vault. See the guide on a US company for Stripe.
These answers are process transparency, not legal, financial or tax advice. Consult your own tax adviser about your obligations.
What we do not do
- We do not give legal, tax or accounting advice.
- We do not file with the state ourselves; the filing goes through the LaunchUS Registered Agent service, we prepare and track.
- We do not issue the EIN; the IRS issues the number, we prepare and track the application. Approval and timing are not guaranteed.
- We do not open bank, payment-provider or marketplace accounts, and we do not guarantee their approval.
- State/government fees are not included in our service fee; they are shown separately and may change.
