1. Parties and definitions
These Terms of Service ("Terms") govern the relationship between SYNCHSEA LLC, a limited liability company formed in the US state of Wyoming and the provider of the services offered under the LaunchUS brand ("LaunchUS", "we"), and you, the person using the service ("customer", "you"). You can reach us at hello@launchus.app.
Some terms used in these Terms have the following meaning:
- Service: the website at launchus.app, the customer portal, the onboarding wizard, the document vault and the formation, Registered Agent, EIN, mail, address and other add-on services described in these Terms.
- Registered Agent: the person or entity shown on the state record, under US state law, as the recipient of a company's official notices and state correspondence. Every US company must have a Registered Agent in its state of formation.
- LaunchUS Registered Agent service: the service offered by LaunchUS under which the Registered Agent role is performed for your company, official notices and state correspondence are received and scanned, and the scans are delivered to you through the portal. Referred to below as the "Registered Agent service". The Registered Agent role is performed by our US service provider, which acts as a registered agent under state law; that entity's name and address appear on the state record as the Registered Agent (see Section 8).
- State: the US state in which your company is formed and the authority responsible for that state's company records.
- IRS: the US Internal Revenue Service. An EIN (Employer Identification Number) is issued only by the IRS.
- Portal: the LaunchUS customer interface where you sign in, see the status of your process and access your documents.
- Vault: the document storage area inside the portal that is scoped to your company and accessible only to authorised accounts.
- Add-on service: a service you can order separately from the formation service and that is shown as a separate line in the quote (Sections 9 and 10).
- Subscription: an add-on service provided for monthly or annual periods that can renew at the end of a period.
- Pricing page: the page published at launchus.app that shows the current prices of the services.
2. Scope of the service
LaunchUS organises the process of forming and running a US company for founders and companies as a software-assisted workflow. The service is open to founders and companies anywhere in the world, wherever you live and wherever your business is based. Both natural persons and companies can be members of the company to be formed. Every order is subject to our acceptance review, which includes identity verification, sanctions and compliance checks (see Section 4). The service is limited to LLC formation in Wyoming and Delaware; other states and entity types are outside these Terms. The portal and support are offered in Turkish and English.
Within the service, LaunchUS:
- Collects, through the onboarding wizard, the information about your company, its owners and its managers that the formation and EIN applications require, and makes missing fields visible.
- Turns your answers into a filing-ready data package; a member of the LaunchUS team reviews the package before it is submitted.
- Places the formation order after your final confirmation; the formation filing is submitted to the state through the LaunchUS Registered Agent service. We prepare and track the filing.
- Provides the Registered Agent service for your company (see Section 8).
- Prepares and tracks your EIN application. For customers without an SSN, IRS Form SS-4 is prepared; you sign it with a wet signature and return it to us as a scanned PDF. The IRS issues the EIN.
- Scans official notices and state correspondence received at the Registered Agent address and delivers them to you through the portal.
- Uploads the resulting documents to your company's vault.
Human review takes place before critical steps; LaunchUS does not promise auto-filling or automated document generation. State and IRS processes are outside LaunchUS's control; the processing times those authorities publish apply and may change. The services you can order in addition to the formation are described in Sections 9 and 10.
3. What we do not do
- We do not give legal, tax or accounting advice.
- We do not file with the state ourselves; the filing goes through the LaunchUS Registered Agent service, we prepare and track.
- We do not issue EINs; the IRS does. Approval and timing are not guaranteed.
- We do not open bank, payment-provider or marketplace accounts, and we do not guarantee their approval.
- State/government fees are not included in our service fee; they are shown separately and may change.
If these five points differ from any other part of these Terms, this section prevails. LaunchUS is not a law firm, an accounting firm or a bank. Legal, tax and financial decisions about your own situation belong to you and your own advisers; the No Legal or Tax Advice Notice explains this separately.
4. Account and customer obligations
- To open an account and use the service you must be at least 18 years old, and the information you provide must be accurate, current and complete.
- If you act on behalf of a company or another person, you confirm that you are authorised to accept these Terms and to provide the application data on their behalf.
- The information you enter in the onboarding wizard is the basis of the applications submitted to the state and the IRS. Rejections, delays and additional state fees caused by inaccurate or incomplete information are your responsibility (see the Refund and Cancellation Terms).
- For a no-SSN EIN application you must sign Form SS-4 within a reasonable time and return it as a scanned PDF; the EIN application is not submitted to the IRS until the form has come back.
- Identity verification: we need to verify your identity before the formation filing is handed over. You do this by scanning your passport through the identity verification service of our payment service provider Stripe (Stripe Identity). Verification is based on the document scan only; no selfie is requested and no biometric matching takes place. The document image stays with Stripe; LaunchUS does not download it to its own systems and uses only the verification result and the details read from the document. How this data is processed and how long it is kept are explained in the Privacy Notice (KVKK). If the scan cannot be completed, the LaunchUS team may check your details manually together with you. Your order is not handed to our US service provider until your identity has been verified.
- Sanctions and compliance: the service may not be used on behalf of persons on sanctions lists, for laundering the proceeds of crime or financing terrorism, or for any other unlawful purpose. Before handing your order to our US service provider we screen the owners and managers against the sanctions lists that apply to us, including the sanctions lists of the US Treasury Department's Office of Foreign Assets Control (OFAC) and the United Nations Security Council sanctions list. If the screening has a negative result, the order is not handed over. If your company's owners, ownership percentages, managers or contact details change, you must tell us through the portal or by e-mail.
- You must keep your contact details current. Official notices received at the Registered Agent address are announced to you through the portal and by e-mail; following those announcements is your responsibility.
- You are expected to keep your account credentials confidential and are responsible for the actions taken through your account. Report any suspected unauthorised access to us immediately.
- Prohibited uses: you may not use the service for an unlawful purpose, in a way that infringes third-party rights or in a way that weakens the security of the service. In particular you may not provide false or misleading information, upload another person's identity document without their authority, try to bypass the portal's security measures, extract data from the portal by automated means or try to reverse-engineer the software.
- Refusal of an order, suspension and termination: LaunchUS may refuse to hand over an order, suspend your account or terminate it in these cases: a breach of these Terms, inaccurate or incomplete information, identity verification that cannot be completed, a sanctions or compliance check with a negative result, misuse of the service, a payment that cannot be collected, a payment dispute opened against a charge, suspected unauthorised access to your account, or a legal obligation. Where a breach can be remedied, we first notify you and give you a reasonable time to remedy it; urgent cases such as a security or sanctions risk are reserved. We tell you about our decision and the reason at your registered e-mail address, except where the law does not allow us to, and give you a reasonable time to download the documents in your vault. If termination affects the Registered Agent service, the cancellation rules in Section 8 apply. If we decide not to provide the service before your order has been handed to our US service provider, the refund follows the section "Order not handed over by LaunchUS" of the Refund and Cancellation Terms.
5. Process and status information
You see each step's status and who acts next (you, LaunchUS, the state or the IRS) from the dashboard in the portal. Status messages carry a timestamp and name the next step; they never predict a completion date that cannot be sourced. LaunchUS does not promise a fixed duration for any step; the processing times published by the state and the IRS apply and may change. Formation approval depends on the state's assessment and the EIN on the IRS's assessment; approval and timing are not guaranteed.
6. Fees and payment
- One LaunchUS service fee is charged for the service. That fee also covers the first year of the Registered Agent service; the Registered Agent fee is not shown to you as a separate line. State/government fees are not included in that fee; they are shown as a separate line item, may change and are passed through to the state unchanged.
- Rush, shipping and physical-copy items and the add-on services in Sections 9 and 10, where they are part of your order, are shown as separate lines. Registered Agent renewal after the first year is a separately priced renewal item (see Section 8). The current prices of the services are on the Pricing page.
- The quote shown to you before payment is the amount charged. Once a quote is finalised, its amount and currency do not change without a new quote.
- Currency and taxes: prices are shown and charged in US dollars (USD). As a company established in the United States, LaunchUS does not add Turkish value added tax (VAT/KDV) to its prices and does not collect VAT from you; the total shown in the quote is the full amount you pay LaunchUS. State and government fees are passed through at cost, at the amount paid to the authority and without any mark-up. Any taxes, duties and filing obligations that arise in your own country because you buy this service (for example self-assessing VAT on an imported service) are your responsibility. Invoices are issued by SYNCHSEA LLC.
- Exchange-rate differences, foreign-transaction fees or commissions applied by your card issuer are outside LaunchUS's control; LaunchUS does not charge them and they are not covered by refunds.
- Payments are taken by LaunchUS through Stripe. Your card details are entered on Stripe's forms; LaunchUS does not store your card number. Stripe's own terms of use also apply to the payment step.
- Discount and promotion codes: a code is valid only for the services, period and number of uses stated in its conditions. Unless its conditions say otherwise, you can use a code only once, only one code applies to an order and codes cannot be combined. The discount appears as a separate line in the quote; it applies only to the LaunchUS service fee and to the add-on services named in the code's conditions, never to the state fee. Codes cannot be exchanged for cash, cannot be transferred and are not applied retroactively after payment. Where a refund is due, it is calculated on the amount you actually paid after the discount; a code used on a refunded order does not become available again. We may treat a code as invalid if we suspect misuse.
- Payment disputes: if you dispute a charge, please write to hello@launchus.app first; we can resolve most cases without you having to raise a dispute with your bank. If a payment dispute (chargeback) is opened through your bank, we may hold the steps of your order that have not yet been handed over, and new add-on requests, until the dispute is resolved. If the dispute is resolved in your favour, the steps not yet handed over are treated as cancelled. Filings already handed over and fees already paid to the state are not affected by the dispute.
- A fee already paid to the state cannot be refunded by LaunchUS unless the state refunds it.
7. Cancellation and refund summary
The full rules are in the Refund and Cancellation Terms; this section is a summary and, where the two differ, the Refund and Cancellation Terms prevail.
- Refunds are not automatic. You send your refund request to hello@launchus.app; LaunchUS reviews it manually and, where approved, refunds to the original payment method. The time within which the refund instruction is given is set out in the Refund and Cancellation Terms; how long the amount takes to reach your account depends on your card issuer.
- If your order is cancelled before it is handed to our US service provider that carries out the formation, the LaunchUS service fee is refunded in full minus the payment-processing (transaction) cost. The order is handed over shortly after your final confirmation, so the cancellation window is short.
- Once the order has been handed to the provider, the LaunchUS service fee is not refundable and the formation filing cannot be cancelled. "Handed to the provider" is the moment the order is placed with the provider: the formation filing is submitted to the state, the EIN application is submitted to the IRS, or the Registered Agent service has started. The state fee follows the state's own rule; the fee of a filing already submitted is usually not refundable, and LaunchUS cannot refund it unless the state does.
- The Registered Agent service can be cancelled at any time. Where cancellation is requested within 90 days of the order date, the part of the service fee that corresponds to the Registered Agent service may be refunded; the rest of the service fee follows the hand-over rule above.
- A no-SSN EIN application can be cancelled until the signed SS-4 form has reached us. An EIN application with an SSN ordered together with a formation can be cancelled until the formation is completed with the state. The service fee for the EIN application follows the same hand-over rule: once the application has been submitted, it is not refundable.
- Filings rejected by the state because of information you provided are corrected and resubmitted; if the state charges a new fee, that fee is yours. If the rejection is caused by an error on our side, LaunchUS charges nothing for the resubmission.
- You can cancel a subscription at any time; the cancellation takes effect at the end of the current period (see Section 9).
- If LaunchUS does not hand over your order (for example because identity verification cannot be completed), the related section of the Refund and Cancellation Terms applies.
Consumer rights and the right of withdrawal: your rights under the consumer law that applies to you are not affected by this summary. If the right of withdrawal for distance contracts applies to this service, you can exercise it within the withdrawal period and before your order is handed to the provider. At the final confirmation step you are asked to confirm that you expressly request your order to be handed over, and performance of the service to begin, before the withdrawal period ends; for a service whose performance has begun at that request, the right of withdrawal ends to the extent the law provides. Details are in the Refund and Cancellation Terms.
8. LaunchUS Registered Agent service
- Scope: the Registered Agent service covers accepting, scanning and delivering through the portal the official notices and state correspondence addressed to your company. The service is limited to the duties state law places on a Registered Agent. No fixed time is promised for scanning notices and uploading them to the portal; so that you do not miss a notice, we recommend that you keep your registered e-mail address current and follow the messages sent to it.
- Agent on the state record: your company's formation document and the state record show, as the Registered Agent, the name and in-state address of our US service provider, which acts as a registered agent under state law; LaunchUS's name does not appear on the state record as the Registered Agent. "LaunchUS Registered Agent" is the name under which LaunchUS offers this service. The duties state law places on a Registered Agent (accepting service and forwarding it to the company) are performed by that provider; for this service LaunchUS is your counterparty (see Section 13).
- Address use: the Registered Agent address is not a general business address, a bank or payment-provider verification address, a marketplace address or a commercial mailing address. If you use the address for these purposes, deliveries may be refused and LaunchUS is not responsible for them. If you need a business address, see the address services in Section 10.
- Renewal: the Registered Agent service is annual. At this stage renewal is not automatic; 60 days and 30 days before the period ends we send a notice to your registered e-mail address with the renewal date, the amount and how to confirm or cancel, and we ask for your confirmation. The first year of the service is included in the LaunchUS service fee; each renewal after the first year is shown as a separate item at the price applicable at renewal time. If the renewal payment cannot be collected or you do not confirm the renewal, the service ends at the end of the period; we tell you before the period ends what this means for the state record.
- Cancellation and afterwards: you can cancel the service at any time by writing to hello@launchus.app. After cancellation your company must still have a Registered Agent under state law; appointing a new Registered Agent is your responsibility. The Registered Agent shown on the state record changes only when the state processes that change; a cancellation request does not mean the state record has been updated. A company without a Registered Agent may face penalties from the state.
- Documents and mail after cancellation: after the service ends you can still access and download the documents in your vault through your account for at least 90 days; when you move to another Registered Agent, your documents are handed over to you through the vault. Items received at the Registered Agent address after the service ends are not accepted on your behalf and are returned to the sender; they are not forwarded to you.
9. Add-on services and subscriptions
In addition to the formation service, services such as the LaunchUS Business Address, the LaunchUS Virtual Office, letter unlocks, shipping an original document, Rush processing, annual compliance tracking (Compliance Care), a bundle subscription, annual report filing, a certificate of good standing and an apostille may be offered. Where they are part of your order, these services are shown as separate lines in the quote; their current prices are on the Pricing page. Any state or official fee for a service is shown on a separate line and passed through unchanged.
- One-time add-on services: services such as Rush processing, letter unlocks, shipping, the annual report, the certificate of good standing and the apostille are treated as performed when the related process starts or the related filing is submitted. Rush is an item offered for priority handling of the filing; the state's processing time still depends on the state and we do not guarantee any particular time. For shipping, the carrier's charge is passed through unchanged; delivery time depends on the carrier.
- Annual compliance tracking: under this service you receive reminders about upcoming annual obligations and the actions defined in the scope of the service are carried out. Our reminders do not change the fact that the final responsibility for keeping track of those obligations is yours (see the No Legal or Tax Advice Notice).
The following rules apply to services provided for monthly or annual periods (subscriptions):
- A subscription is valid for the period shown in the quote and starts on the date payment is received. There is no minimum commitment and no early-cancellation fee.
- You can cancel a subscription at any time by writing to hello@launchus.app, or in the portal once in-portal cancellation is offered. The cancellation takes effect at the end of the current period. The specific rule for the Registered Agent service in the Refund and Cancellation Terms is reserved.
- If a subscription renews automatically, we tell you by e-mail at least 30 days before the renewal date what the renewal date and amount are and how to cancel.
- If a renewal payment cannot be collected, we let you know by e-mail and give you 14 days to complete it; if payment is still not received within that time, the service is not renewed. We tell you separately what this means for the Registered Agent service and the state record.
- The price of a subscription may change for the next period. We tell you about the change before the new period starts; if you do not accept it, you can end the subscription at the end of the period.
10. Mail, LaunchUS Business Address and LaunchUS Virtual Office
- Mail at the Registered Agent address: official notices and state correspondence received at the Registered Agent address are scanned and uploaded to your vault without limit. Other letters (such as bank correspondence, letters from tax authorities including the IRS, and customer or supplier mail) count as regular mail: the number of regular letters stated on the Pricing page is opened free of charge, and each further letter is opened after you pay a per-letter unlock fee. Opening formation and EIN documents is included in the LaunchUS service fee. The Registered Agent address is for official notices; for your business correspondence we recommend the address services below.
- LaunchUS Business Address: offered as an annual subscription. It consists of a US mailing address with a suite number unique to your company. Letters received at this address are logged, scanned and uploaded to your vault; the annual subscription covers opening and scanning 15 letters per year.
- LaunchUS Virtual Office: offered as an annual subscription. It consists of a US mailing address with a suite number unique to your company and a virtual office lease agreement for that address issued in your company's name. Letters received at this address are logged, scanned and uploaded to your vault; the annual subscription covers opening and scanning 20 letters per year.
- Letters beyond the yearly limit: once the yearly letter allowance of your Business Address or Virtual Office subscription is used up, each further letter appears locked in your vault and is opened after you pay the per-letter unlock fee shown on the Pricing page.
- Not a physical office: the Business Address and the Virtual Office do not provide the use of a physical office, workspace or meeting room and are not proof of residence. The Virtual Office lease agreement relates only to the use of the mailing address.
- Acceptance by banks, payment providers and marketplaces: whether a bank, payment provider, marketplace or public authority accepts this address is decided by that institution under its own rules. LaunchUS does not open accounts on your behalf and we do not guarantee that any application will be approved.
- Letters only; no parcels or packages: the address services and the Registered Agent address are for letter-type mail only. Parcels, packages, products, samples, commercial inventory and courier shipments are not accepted. Returns from marketplace and online-store sales and supplier shipments cannot be received at this address; letters only. Use your own warehouse or your logistics provider's address for these shipments.
- Other items not accepted: cash, cheques, identity or payment cards, and items with dangerous or unlawful contents may be refused, returned to the sender or securely destroyed.
- No forwarding: your mail is not routinely forwarded to you or to any other address (no mail-forwarding service is offered). The physical originals of scanned letters are kept for a limited period after scanning and then securely destroyed; the scanned copy stays in your vault. Where shipping the original of a letter is offered, it is shown as a separate item and must be requested within the holding period.
- Use of the address: you may use the address only for lawful business purposes. If you are told that the address is being used for a purpose that is not permitted, you must stop that use promptly and no later than 3 business days after the notice.
- When the service ends: your right to use the address ends as well; items received at the address after that date are not accepted and are returned to the sender. Updating your records with the banks, payment providers, marketplaces and other institutions where you used the address is your responsibility.
11. Documents and vault
Formation documents, the EIN letter, scanned notices and letters, and the other documents created during the process are uploaded to your company's vault and can be viewed and downloaded only by authorised accounts. The content of these documents is the responsibility of the state or the IRS that issued them; LaunchUS does not alter them. Documents in the vault are kept for as long as your account is open. When you ask for your account to be closed, your documents are deleted except where the law requires us to keep them; we therefore recommend that you download and keep your own copies, and download them before closing your account. Your company is responsible for keeping these documents as US law requires. Retention periods are explained in the Privacy Notice (KVKK).
12. Intellectual property
The service, software, interface, brand, guide content, texts and visuals belong to LaunchUS or its licensors. You receive a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms. The information you enter in the wizard and the documents in your vault belong to you. You allow us to use them only to provide the service to you; this permission ends when the service ends, except for records we must keep by law.
13. Third-party services
The payment and identity verification steps are run by Stripe; Stripe's own terms of use and privacy policy also apply to those steps. The formation, Registered Agent, EIN, mail and address services are performed through our US service provider; for these services LaunchUS is your counterparty, and we are responsible to you for what our provider does in performing these services to the same extent as for our own acts. Neither LaunchUS nor our provider has control over the decisions and processing times of public authorities such as the state and the IRS.
14. Limitation of liability
LaunchUS accepts no liability for the decisions and processing times of the state or the IRS or for interruptions beyond the reasonable control of LaunchUS and its service providers. To the extent the law permits, LaunchUS's total liability under these Terms is limited to the LaunchUS service fee you paid for the order concerned in the twelve months before the claim; fees passed through to the state or other official authorities are not part of that amount. To the extent the law permits, we are not liable for indirect damage, loss of profit or loss of data. These limitations do not apply in cases of intent or gross negligence or where the law that applies to you, including consumer law, prohibits limiting liability.
15. Indemnity
You reimburse LaunchUS for reasonable, documented amounts that LaunchUS has to pay to third parties or authorities because, through your fault, you provided inaccurate or incomplete information, acted for a third party without authority, or used the Registered Agent address or the addresses in Section 10 for purposes these Terms do not permit. When LaunchUS learns of such a claim it tells you without delay and gives you the opportunity to state your view; amounts arising from LaunchUS's own fault are not covered. If you act as a consumer, this section applies to the extent the consumer law that applies to you permits.
16. Force majeure
While events beyond our reasonable control that reasonable precautions could not prevent last, such as natural disasters, epidemics, war, cyber attacks, infrastructure or power outages, the closure or suspension of work of public authorities and changes in the law, performance of the obligations affected by them is postponed. We tell you about such a situation through the portal or by e-mail. If the event lasts a long time, the pre-hand-over refund rule of the Refund and Cancellation Terms applies to your orders that have not yet been handed to our US service provider. If the event lasts longer than 60 days, either party may end the affected subscription or Registered Agent service by notice; in that case the fee for the period not yet performed is refunded pro rata for the remaining time.
17. Changes and versioning
These Terms and the other legal texts carry a version number and an effective date. Every version is kept as a separate text; the version you accepted and a digest of that text are recorded in your account. When a material change is made, a new version is published and you are asked to accept it before a payment or a new Registered Agent order; non-material corrections do not require re-acceptance. What changed is shown in the "what changed" line in the portal.
18. Governing law and dispute resolution
These Terms are governed by the law of the US state of Wyoming, without regard to its conflict-of-laws rules, and the courts located in the state of Wyoming have jurisdiction over disputes arising from these Terms. If you act as a consumer, your rights under the mandatory consumer-protection rules of the law of your place of residence, and your right to apply to the competent bodies at your place of residence, are reserved. In case of a dispute, we suggest you first write to hello@launchus.app so we can try to resolve it.
19. Notices and electronic communication
Notices about your account, your order, Registered Agent notices and changes to these Terms are given through the portal and your registered e-mail address. These notices are transactional messages needed to perform the service; they are not commercial electronic messages and do not promote any goods or services. Commercial electronic messages such as newsletters and campaign announcements are sent only with your separate approval, which you can withdraw at any time (see the Privacy Policy). Live support chat is for information and guidance; please send cancellation, refund and personal-data requests by e-mail so that we can record them.
20. General provisions
- Entire agreement: these Terms, together with the Refund and Cancellation Terms, the Privacy Notice (KVKK) and the other legal texts you have accepted, form the entire agreement between us.
- Severability: if a provision is held invalid, the validity of the other provisions is not affected.
- Assignment: you may not transfer your rights under these Terms to anyone else without our written approval. LaunchUS may transfer these Terms to a person who takes over its business by telling you by e-mail, at least 30 days before the transfer, who the new provider is; if you do not accept the transfer, you may end the service free of charge before the transfer date and ask for a pro-rata refund of the fee for the period not yet performed.
- Waiver: if we do not exercise a right, or exercise it late, this does not mean that we have given it up.
- Provisions that survive: fees and refunds, limitation of liability, indemnity, governing law and this section continue to apply after the service ends.
- Notice address: the address in Section 21 applies to notices you send us; notices we send you are given under Section 19.
- Language: these Terms are published in Turkish and English; if the two texts differ, the English text prevails.
