Wyoming or Delaware? LLC cost calculator

Default: the LaunchUS Registered Agent renewal price. You can type another amount.

The Wyoming annual license tax is the minimum, or the asset rate times Wyoming assets when that is higher.

How it is calculated

Year 1: the state formation fee. In Wyoming the card processing fee of online filing is added to it; in Delaware the filing fee is the same by any channel.

Every year from year 2: in Wyoming the annual report license tax (the minimum, or Wyoming assets × 0.02% if higher); in Delaware the flat LLC annual tax, due by June 1.

A registered agent is needed every year. The first year is included in the LaunchUS formation plan; later years use the published renewal price. The plan price and other services are shown in the three-year cost guide.

Frequently asked questions

Is Wyoming or Delaware cheaper?

When the Wyoming yearly payment stays at its minimum, it is lower than the flat Delaware annual tax. Cost is one factor among several: investor expectations and your business plan matter too.

When is the yearly state payment due?

The Wyoming annual report is due on the first day of your formation month, every year after the formation year. The Delaware LLC annual tax is due by June 1 each year, for the previous year.

Why is a registered agent needed every year?

The state requires a registered agent in the state to receive official mail for as long as the LLC exists. Without one, the LLC’s standing with the state can suffer.
