How much does a Wyoming LLC cost per year?
From the second year, the state’s annual report license tax of $60 (or 0.02% of Wyoming assets, if higher) plus a registered agent, which LaunchUS renews for $199.
To form the company, the Wyoming Secretary of State’s statutory filing fee is $100; filing online adds the state’s card-processing fee of 2.4% (minimum $1), so the LaunchUS quote shows $103 as the state fee line, passed through at cost (fee schedule, online filing fees, checked on October 31, 2026).
The annual report is due on the first day of the month in which the company was formed, every year (Wyoming Secretary of State FAQ). Our post on the Wyoming LLC annual report walks through the filing.
How much does a Delaware LLC cost per year?
A flat LLC annual tax of $400, due by June 1 for the previous calendar year (checked on October 31, 2026), plus a registered agent, which LaunchUS renews for $199.
Delaware has no annual report for LLCs, only the tax. If it is paid late, the state adds a $200 penalty and interest of 1.5% a month (Delaware Division of Corporations). The formation fee is $110 (fee schedule).
Because the tax is owed for every calendar year the LLC exists, including the year it was formed, the first payment is due by June 1 of the year after formation. Our post on the Delaware LLC annual tax covers how to pay it.
What do years 1, 2 and 3 cost side by side?
With the Starter plan and LaunchUS Business Address, the example comes to $1,467 over three years in Wyoming and $2,154 in Delaware.
| Line | Wyoming | Delaware |
|---|---|---|
| Year 1 (plan, formation fee, address) | $751 | $758 |
| Year 2 (agent renewal, state annual payment, address) | $358 | $698 |
| Year 3 (agent renewal, state annual payment, address) | $358 | $698 |
| Three-year total | $1,467 | $2,154 |
Year 1 is the plan, the state formation fee and the first address year; years 2 and 3 each carry the registered agent renewal, one state annual payment and the address. A Wyoming LLC with significant Wyoming assets pays more than the minimum.

Which costs go to the state and which to a provider?
The formation fee and the yearly tax or report go to the state at cost; the plan, the agent renewal, an address and compliance are LaunchUS services. The EIN costs $0 at the IRS.
| Cost line | Paid to | Wyoming | Delaware |
|---|---|---|---|
| Formation filing | State, at cost | $103 | $110 |
| Annual state payment | State | $60 minimum | $400 |
| EIN | IRS | $0 | $0 |
| Registered agent renewal, from year 2 | LaunchUS | $199 | $199 |
Everything LaunchUS charges is on the pricing page: one USD price; state fee shown as a separate line. The LaunchUS Registered Agent and the US business address pages describe the yearly services.
What costs are not included?
Tax preparation, bank and payment-provider fees, and state filings other than formation and the yearly payment are outside these totals.
- A tax professional’s fee, including preparing Form 5472 each year.
- Bank account, card and transfer fees, and payment-provider fees such as Stripe’s.
- State amendments, name changes, certificates and expedited processing, each with its own state fee.
- Accounting software, a website or other business costs.
What happens if an annual payment is missed?
Delaware adds a $200 penalty and 1.5% monthly interest; in Wyoming an unfiled annual report can lead to administrative dissolution, and reinstatement is a separate filing.
The yearly obligations checklist puts the state, agent and IRS deadlines on one page.
Frequently asked questions
Is the EIN free?
Yes. The IRS charges nothing for an EIN. Every LaunchUS plan includes preparing the application without an SSN.
Does Wyoming charge the LLC a state income tax?
This page covers the state’s company fees, not income tax. How and where the LLC’s income is taxed depends on where the business is carried on and where you live; ask a tax adviser.
Why is a Delaware LLC more expensive each year?
Delaware charges every LLC a flat annual tax of $400 whatever its activity, while Wyoming’s annual report license tax starts at $60.
Can I skip the registered agent after the first year?
No. The state requires a registered agent for as long as the LLC exists. You can change agents, but the company cannot be without one.
Is anything added on top of the LaunchUS price?
No. One USD price; state fee shown as a separate line and passed through at cost.
