How it is calculated

The tool follows the rule in the IRS instructions for Form 5472: a single-member US LLC owned by a non-US person is treated as a corporation for this report. It files Form 5472 for every tax year in which it has a reportable transaction with its owner or another related party.

Reportable transactions are broad: contributing capital, taking money out, lending or borrowing and the owner paying the formation costs. The rule applies even when the LLC has no US income.

Form 5472 is filed with a pro forma Form 1120. For an LLC on the calendar year the due date is April 15 of the following year; Form 7004 extends it to October 15.

Frequently asked questions

What is Form 5472?

Form 5472 is the form on which foreign-owned US companies report money and property moving between them and their owners or related parties to the IRS. Foreign-owned single-member LLCs file it with a pro forma Form 1120.

Do I need Form 5472 if my LLC had no income?

Having no income does not settle it. The filing depends on transactions between the LLC and its owner; even contributing capital or paying the formation costs is reportable.

When is Form 5472 due?

For an LLC on the calendar year, April 15 of the following year. Form 7004 extends the time to file to October 15. The extension is for filing; it does not extend the time to pay any tax due.

What happens if I do not file Form 5472?

The IRS can charge $25,000 for each form not filed, for each tax year. If the form is still not filed after an IRS notice, a further penalty runs. See the late-filing penalty estimator for the details.
