What is the Wyoming LLC annual report?

The annual report is a yearly filing that every Wyoming LLC makes with the Wyoming Secretary of State. It confirms the company's basic details and comes with a license tax. It is a state filing, separate from anything the company may file with the IRS, and it applies whether or not the company had income.

This post summarises the Secretary of State's business FAQ and its filing fee schedule, effective 1 July 2026 (both accessed 31 October 2026). For how a Wyoming LLC is formed in the first place, see our Wyoming LLC guide.

When is the Wyoming annual report due?

The Secretary of State's FAQ says the due date follows the company's anniversary month, the month in which it was formed. A Wyoming LLC formed in March files each year in March, starting the year after formation. The FAQ adds that a report can be filed early, within a window the state sets before the due date.

The state's online filing page shows the next due date for a specific company once you look it up by name or filing ID.

How is the Wyoming annual report license tax worked out?

According to the fee schedule, the annual report license tax for an LLC is $60 or two-tenths of one mill on the dollar ($0.0002), whichever is greater, based on the company's assets located and employed in Wyoming. A company that holds no assets in Wyoming, like most online businesses run from abroad, usually pays the minimum.

How do you file the annual report?

The report is filed online on the Secretary of State's business portal, wyobiz.wyo.gov. You look up the company, confirm or update its details, declare the Wyoming assets and pay the license tax online. The steps below follow the state's online process. Keep the filed report with your other company records.

  1. Find the company. Open the annual report filing page and search by company name or filing ID.
  2. Check the details. Review the company details the form shows, including the addresses and the registered agent.
  3. Declare Wyoming assets. Enter the value of assets located and employed in Wyoming; the tax follows from it.
  4. Pay the license tax. Pay online and save the receipt.
  5. Keep a copy. File the confirmation with your formation document so you can show the company is in good standing.

What happens if the annual report is missed?

The FAQ says an entity becomes delinquent on the second day of the month after the due date. If the report is still not filed within sixty days of the due date, the entity is administratively dissolved. A dissolved company can apply for reinstatement within two years, which costs more than filing on time.

A dissolved LLC can also lose its good standing, and banks or payment providers may ask about it. Keeping the registered agent active matters too: the fee schedule lists a separate reinstatement fee for companies dissolved for having no registered agent. Our Registered Agent service page explains what that role covers.

How does LaunchUS help with the annual report?

Your dashboard's annual obligations calendar shows the Wyoming annual report with its due date, and the Compliance add-on on our pricing page tracks the date and sends reminders as it approaches. Official state mail that reaches the LaunchUS Registered Agent is scanned into your vault. You stay the one who declares the company's Wyoming assets.

The annual report is one of a few yearly items. A foreign-owned single-member LLC usually also files Form 5472 with the IRS, while the FinCEN BOI report no longer applies to US-formed companies, as our FinCEN BOI post explains. To compare the Delaware side, read Wyoming vs Delaware.

If you are weighing Delaware instead, the Delaware LLC annual tax post covers its yearly payment, and the yearly obligations checklist puts every item on one page.

This tax next to the agent renewal and the other lines, over three years, is in the three-year cost of a Wyoming or Delaware LLC. For the basics, read what is a US LLC?.
