Why is Delaware linked with fundraising?

Delaware is a common state for forming a US company, and its name often comes up in investor conversations. In the state's own words, the reasons are its modern and flexible corporate laws, its highly respected judiciary and legal community, and a business-friendly government.

The Delaware Division of Corporations' official site (accessed 12 October 2026) says more than one million business entities use Delaware's incorporation services. That does not make Delaware the right state for you; the choice depends on your fundraising plans, ownership and tax situation. For the state overview, see our Delaware LLC guide.

What is the difference between a Delaware LLC and a corporation?

An LLC (limited liability company) and a corporation are two entity types you can form in Delaware. An LLC has a more flexible internal structure and is a common first choice for small businesses. A corporation issues shares and has a board structure. Which one suits you depends on your investors' expectations and your tax situation.

Some investors may want the company they invest in to be a particular type. Discuss this with your investor and decide with a lawyer and a qualified tax adviser. What are a Delaware LLC's annual obligations?

A Delaware LLC pays an annual tax to the state. According to the state's tax instructions, the annual tax for LLCs is $400, and the prior year's tax is due on or before 1 June. The same page says LLCs do not have to file an annual report.

Delaware's LLC tax instructions (accessed 12 October 2026) add a $200 penalty plus 1.5% interest per month for late payment. The state's formation page (accessed 12 October 2026) says every business entity must have a registered agent in Delaware. The state sets these amounts and dates and can change them. They appear in your dashboard's compliance calendar; you pay the tax, and the calendar reminds you. See pricing for which annual services each plan covers.

How do Wyoming and Delaware compare on annual cost?

Both are common LLC states for founders based outside the US, and their annual obligations differ. A Delaware LLC pays a flat annual tax and files no annual report; a Wyoming LLC files an annual report and pays a licence tax with it.

What do startup programmes offer Delaware companies?

Some startup programmes and service providers offer credits and discounts to new or venture-backed companies, often asking you to apply with a US company. Stripe's startups page (accessed 12 October 2026) offers credits to offset Stripe fees and Stripe Invoicing starting at 0.4%, up to $10 per invoice. For cloud credits, see AWS Activate and Microsoft for Startups credits.

You apply; the programme decides.

Step by step: forming a Delaware LLC

This sequence shows who does what when you form a Delaware LLC with LaunchUS. State and IRS processing follows their published timelines, which can change, and you follow the status in your dashboard. Each step names who does the work and who decides, so it is clear which decisions are yours and which work is ours.

  1. You decide with your advisers. Choose the entity type and state with your lawyer and tax adviser.
  2. You enter your details. Company name, members and management.
  3. We form your company. We file the Certificate of Formation; the state approves.
  4. Your registered agent is in place. The LaunchUS Registered Agent service receives official state mail and files it in your vault.
  5. We get your EIN. We prepare Form SS-4, you sign, the IRS issues the number.
  6. Annual obligations go on your calendar. The Delaware annual tax and federal forms appear in your dashboard.

Our LLC formation service covers these steps in detail. The Registered Agent service receives official state mail; its address is not a general business address or a verification address.

Which documents should be ready before investor conversations?

Investors and programmes want to see the company's official records: the formation document, the EIN, the operating agreement and the ownership structure. The operating agreement and ownership are legal matters, so prepare them with your lawyer. The formation document, EIN letter and official state mail are in your LaunchUS vault.

For a current note on federal reporting, read FinCEN BOI: US-formed companies are exempt.

The yearly cost of keeping a Delaware LLC is explained in our post on the Delaware LLC annual tax.
